Know who funds what

Prepare before you pitch
You need three artefacts: a clear pitch deck (problem, solution, market, traction, team, ask), a defensible financial model with honest assumptions, and a clean data room — incorporation documents, cap table, key contracts, metrics and compliance records.
Understand equity and dilution
Every round trades ownership for fuel. Model your dilution across future rounds before agreeing to terms, understand liquidation preferences and anti-dilution clauses, and never sign investment documents without qualified legal review. All Indian fundraising instruments must comply with company, foreign-exchange, tax and securities regulations.
Run fundraising like a sales process
Build a target list of investors who actually invest at your stage and sector. Create momentum by speaking to several in parallel, track every conversation, and keep building the business — traction during the raise is your strongest negotiating lever.
